Welcome to TourOmni!

TourOmni Pvt Ltd, a company incorporated in Sri Lanka under registration number PV00360254, of No. 70/2/1B, YMBA Building, Colombo 08, 00800, Sri Lanka ("TourOmni", "we", "us", or "our") owns and operates an AI-powered travel ERP platform that connects travel agencies, destination management companies (DMCs), their team members, suppliers, and the travellers they serve ("user", "you", or "your"). These Terms of Service ("Terms of Service" or "Terms") apply to and govern your access to and use of our website located at touromni.com (the "Website") and the TourOmni web application (the "TourOmni App") (the Website and TourOmni App are collectively referred to herein as the "TourOmni Platform") and all services, features, functionality, tools, content, materials, and offers made available through the TourOmni Platform (collectively, together with the TourOmni Platform, the "TourOmni Services" or the "Services"), as well as your relationship with TourOmni, our affiliates, and service providers.

These Terms of Service constitute a binding contract between you, as a user of the TourOmni Platform and the Services, and TourOmni.

Changes to these Terms of Service

We may modify or change these Terms from time to time in our sole discretion, effective immediately upon posting the revised Terms, along with the effective date, on the TourOmni Platform; however, we will notify you by email or through the TourOmni Services if we make a modification that materially affects your rights. When you access the TourOmni Platform and/or use the TourOmni Services after the updated Terms of Service is posted, such access and use signify your acceptance to the modifications.

The version of these Terms posted on the TourOmni Platform on each respective date you visit such will be the Terms applicable to your access thereto and/or use of the Services on that date. Our electronically or otherwise properly stored copies of the Terms shall be deemed to be the true, complete, valid, and authentic copy of the version of the Terms that was in force on each respective date you used the Services.

Please review our Privacy Policy to understand our privacy practices when you access the TourOmni Platform and/or use the TourOmni Services.

About the TourOmni Platform

The TourOmni Platform is an online multi-tenant software-as-a-service (SaaS) platform designed for boutique tour operators, destination management companies, and specialist travel agencies. Travel agencies and DMCs use the TourOmni Platform to manage their travel business including such features as: CRM and lead pipeline management, AI-powered itinerary generation, smart quotation building with itemised pricing and online approval links, booking and operational management, invoice creation and payment collection, unified messaging (WhatsApp Business, Facebook Messenger, Instagram DMs), email and calendar integration, supplier management, HR and payroll, document management, and analytics ("Tenant(s)"). Team members (employees and consultants) use the TourOmni Platform under permissions granted by their Tenant to access features relevant to their role ("Team Member(s)"). Suppliers (ground operators, hotels, and activity providers) use the TourOmni Platform to view assigned bookings, submit rates, and upload confirmation documents via a dedicated supplier portal ("Supplier(s)"). Travellers interact with the TourOmni Platform through Tenant-configured public touchpoints: journey links, quotation approval pages, client portals, and payment pages ("Traveller(s)" or "Customer(s)").

Each Tenant operates within a logically isolated data environment. Tenant data is not accessible to other Tenants. Platform features are accessed via a Tenant-specific subdomain or URL. Notwithstanding any fees TourOmni may collect or receive, Tenants, Team Members, Suppliers, and Travellers are independent third parties and are not affiliated with or endorsed or sponsored by TourOmni. As further detailed in these Terms, as between the parties, TourOmni is not responsible for, and shall not be liable in any manner in connection with, the activities, products and/or services offered by Tenants, Suppliers and/or Team Members through the TourOmni Platform or otherwise offered through the TourOmni Services.

Creating an account

TourOmni offers different account types tailored to each of our primary users: Tenants (Tenant Admins), Team Members, and Suppliers. Travellers may use certain TourOmni features (such as journey links and quotation approval pages) without an account. To use any other features and functions, Tenants, Team Members, and Suppliers must each create an account to use TourOmni ("Account" or "TourOmni Account"). When creating a TourOmni Account, you must not misrepresent yourself or misrepresent affiliation with any organisation, company, or group. TourOmni Accounts are personal to the user and are not transferable to any other person or entity.

You are entirely responsible for maintaining the confidentiality of your Account information, including your login credentials and password, and for any and all activity that occurs under your Account. You agree to notify TourOmni immediately upon learning of any unauthorised access or use of your Account, login credentials, or password, or any other unauthorised access or breach of security. However, you may be held liable for losses incurred by TourOmni or any other person or entity due to another person using your Account, login credentials, or password.

We reserve the right to suspend or terminate your Account for any reason without notice.

Messaging

As part of the Services, you may receive communications through the Services, including messages that TourOmni sends you (for example, via email or SMS). When signing up for the Services, you will receive a welcome message and instructions on how to stop receiving messages. By signing up for the Services and providing us with your email address or phone number, you confirm that you want TourOmni to send you information regarding your account or transactions with us as well as information that we think may be of interest to you, and you agree to receive communications from TourOmni, and you represent and warrant that each person you register for the Services or for whom you provide contact information has consented to receive communications from TourOmni. You agree to indemnify and hold TourOmni Parties (as defined below) harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including legal fees) arising from or in any way related to your breach of the foregoing.

Representations and warranties

You represent and warrant that: (a) all information, data, materials, or other content that you submit to or through the TourOmni Platform, the TourOmni Services, or your TourOmni Account are and shall be true, accurate, complete, and suitable for the purpose which they are intended; and (b) your access to the TourOmni Platform and use of the Services shall at all times comply with all applicable laws, regulations, and industry standards.

User generated content

TourOmni allows Tenants, Team Members, Suppliers, and Travellers to create and share content (including images, photographs, documents, communications, reviews, itineraries, and other information materials) via the TourOmni Platform and TourOmni Services (collectively, "User Content"). By creating and uploading User Content to the TourOmni Platform, you grant TourOmni and its designees a limited, non-exclusive, worldwide, royalty-free licence to use, reproduce, store, process, and transmit your User Content solely to the extent necessary to provide and improve the TourOmni Services. This licence terminates when your Account is closed and your data is deleted in accordance with these Terms.

By creating and uploading User Content to the TourOmni Platform, you hereby represent and warrant: (a) that you own or have the full legal right to so use your User Content and grant TourOmni the rights described above; (b) your User Content does not violate any law, regulation, or contractual restriction; (c) your User Content does not infringe the intellectual property rights, privacy rights, publicity rights, or other legal rights of any person or third party; and (d) you are fully responsible for your User Content, which must comply with these Terms.

TourOmni is not responsible, or liable to you, any user, or third party, for the content, reliability, legality, or accuracy of any User Content, including, without limitation, User Content transmitted or otherwise made available by Tenants, Team Members, Suppliers and/or Travellers to one another in connection with their use of the Services and interaction with each other. Use of User Content is at your own risk.

TourOmni neither actively monitors general access to the TourOmni Platform or the Services, nor exercises editorial control over any User Content. However, TourOmni does reserve the right (but has no obligation) to monitor such User Content or other use at any time as it deems appropriate and to remove any User Content or other materials that, in TourOmni's sole discretion, may be illegal, may subject TourOmni to liability, may violate these Terms, or are inconsistent with TourOmni's intended purpose for the TourOmni Platform or the Services.

The Services may allow TourOmni Platform users to exchange messages ("Messages") with each other, including via the unified messaging inbox (WhatsApp Business, Facebook Messenger, Instagram DMs). Sending Messages is a privilege, not a right, and TourOmni may terminate such privileges of any user at any time and for any reason. If a user sends you an objectionable Message, please contact TourOmni immediately at [email protected]. You are solely responsible for the content of any Message you send. You agree that TourOmni may monitor Messages for compliance with these Terms, and Messages should not be considered confidential or proprietary.

Third-party websites

The TourOmni Platform and Services may include links to external websites or services (including those of Suppliers, payment processors, messaging platforms, hotel APIs, and calendar providers) that we neither operate nor oversee ("Third-Party Sites"). Your use of Third-Party Sites and any services or purchases from such Third-Party Sites are subject to the terms and conditions of such other websites. We do not endorse or sponsor any Third-Party Sites, nor do we make any representations or warranties regarding them. Links to Third-Party Sites on our Platform are provided solely for your convenience. By accessing any Third-Party Sites, you assume all associated risks and release us from any claims concerning the Third-Party Sites or our links to them, and you agree that you will not bring any claim, suit, or action against TourOmni arising from or based upon any use of Third-Party Sites.

Google API Services

The Platform uses Google API Services, including Google Calendar API, Google Maps Platform, Google reCAPTCHA, and Google Gemini, to deliver calendar synchronisation, mapping, bot prevention, and AI-powered features. TourOmni's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Meta Platform services

The Platform uses Meta Platform services, including WhatsApp Business API, Facebook Messenger API, Instagram Messaging API, and Meta Login (Facebook Login), to deliver unified messaging and optional single sign-on authentication. TourOmni's use of Meta Platform data is in compliance with the Meta Platform Terms, the Meta Developer Policies, and the WhatsApp Business Solution Terms. Tenants are responsible for obtaining proper opt-in consent from their customers before sending WhatsApp messages and for complying with all applicable messaging policies. For further details, please refer to our Meta Services Notice.

Consent to electronic communications

By using the Services, you agree that we may communicate with you electronically regarding Account registration, subscriptions, payments, security, privacy, and administrative issues relating to your TourOmni Account and/or use of the TourOmni Platform and Services.

You consent to receiving our email newsletter and other marketing-related emails from us. If you wish to remove yourself from our email list for such marketing-related emails, please use the unsubscribe link in any email received from us, or email us at [email protected] with "UNSUBSCRIBE" in the subject line.

Use and prohibited activities

TourOmni reserves the right to do any of the following, at any time, without notice or liability: (a) terminate these Terms of Service; (b) refuse, restrict, suspend, discontinue, or terminate operation of or access to the TourOmni Platform or use of the Services, or any portion thereof; (c) modify or change the TourOmni Platform, the Services, or any portion thereof, and any applicable policies or terms; and (d) interrupt the operation of the TourOmni Platform, the Services, or any portion thereof, as necessary to perform maintenance, error correction, or make other changes.

In connection with your access to the TourOmni Platform and your use of the Services, you agree you will not (or allow or assist a third party to):

• Reverse engineering: decompiling, disassembling, reverse engineering, or otherwise attempting to discover the source code, underlying algorithms, or proprietary components of the TourOmni Platform or Services.
• Spamming and phishing: engaging in spamming, phishing, or sending unsolicited messages, promotions, or advertisements through the TourOmni Platform or Services, including via the unified messaging inbox.
• Misrepresentation: impersonating another user, providing false or misleading information, or otherwise misrepresenting your identity or affiliation.
• Scraping and data mining: using automated tools, scripts, or other methods to scrape, data mine, or extract data from the TourOmni Platform or Services without explicit, written permission from TourOmni.
• Harassment and offensive content: engaging in harassment, bullying, or posting offensive, defamatory, obscene, or inappropriate content.
• Malicious activity: introducing viruses, malware, or other harmful code, or using the TourOmni Platform or Services to engage in hacking, cyber-attacks, or other malicious activities.
• Intellectual property infringement: uploading, sharing, or distributing copyrighted, trademarked, or other protected content without the necessary rights or permissions.
• Overburdening resources: overloading or attempting to disrupt the proper functioning of the TourOmni Platform or Services by placing an excessive burden on the infrastructure, servers, or network resources.
• Reselling or sublicensing: reselling, sublicensing, white-labelling, or providing unauthorised access to the TourOmni Platform or Services to third parties without the express, written consent of TourOmni.
• Violation of applicable laws: using the TourOmni Platform or Services in a manner that violates any applicable local, state, national, or international laws or regulations, including data protection laws.
• Circumventing security measures: attempting to bypass, disable, or otherwise circumvent any security features, access controls, or limitations imposed by the TourOmni Platform or Services.
• Unauthorised access: it is prohibited to gain unauthorised access to the TourOmni Platform or Services, including other Tenants' data environments. Users are prohibited from sharing Account login information for any reason, including to avoid paying for additional user licences.
• AI feature misuse: misusing AI features to generate content that is deceptive, harmful, or used to misrepresent your services to customers or suppliers.

TourOmni reserves the right to take whatever lawful actions it may deem appropriate in response to actual or suspected violations of these Terms of Service, including, without limitation, the suspension or termination of your access and/or Account. TourOmni reserves the right at all times to disclose any information as TourOmni deems necessary to satisfy the requirements of any applicable law, regulation, legal process, or governmental request. You also agree to reimburse TourOmni for any damage, loss, cost, or expense TourOmni incurs (including fees or costs of legal advisors, accountants, professional advisors, and other experts incurred in connection with the defence or settlement of the foregoing) because of your access to the TourOmni Platform or use of the TourOmni Services for any unlawful or prohibited purpose.

Tenant subscription terms

The following terms and conditions apply to Tenant (travel agency and DMC) users.

A. Subscriptions

Access to the features, functionality, tools, software, and/or content offered through the TourOmni Platform and TourOmni Services to Tenants requires the purchase of a fee-based subscription (the "Subscription Plan"). TourOmni, at its sole discretion, may offer various types of Subscription Plans (e.g., Cabin Class, Economy Class, Business Class) and retains the right to modify, terminate, or amend the Subscription Plans, in whole or in part, at any time.

Tenants have the option to purchase a Subscription Plan on either a monthly or yearly basis ("Subscription Term"). Upon purchasing your chosen Subscription Plan, you will gain access to features, functionality, tools, software, and/or content currently available within that Subscription Plan for the duration of your Subscription Term (the "Subscription"). Your Subscription commences as soon as your initial payment is processed. Each Plan includes defined quotas for the number of users, customer records, storage capacity, AI generation credits, and other resources. Usage beyond Plan quotas may result in feature restriction or an invitation to upgrade. Current Plan details, features, and pricing are published at touromni.com/pricing.

TourOmni may, at its sole discretion, offer a 30-day free trial period to a Subscription, with access to all Platform features. No credit card is required to start a trial. The free trial period can be activated only once per TourOmni Tenant Account. At the end of the trial period, the account will be downgraded or suspended unless a paid Subscription is activated. Trial data is retained for 30 days after trial expiry; after that period it may be permanently deleted.

Your Subscription will automatically renew each month or year, depending on the Subscription Term you have chosen, without notice until you cancel in your TourOmni Account settings. You authorise us to store your payment method(s) and to automatically charge your payment method(s) on each renewal date until you cancel. We will automatically charge you for your Subscription and any applicable taxes (such as, but not limited to, sales taxes, VAT, or GST), every month or year, as applicable, upon renewal until you cancel. We may change the fees applicable to your Subscription for any renewal thereof, by giving you written notice thereof with the option to cancel. In accordance with applicable law, you accept the new fee by continuing to use the Subscription after the fee change takes effect. If the applicable sales tax, VAT, GST rate, or any other tax or duty changes during your Subscription Term, we will adjust the tax-inclusive price for the Subscription accordingly on your next billing date.

Tenant can cancel a Subscription at any time via its TourOmni Account settings or by emailing [email protected]; however, there are no refunds for cancellation, and the subscriber acknowledges and agrees that TourOmni will not provide any refund, exchange, credits, or extensions for any unused time of a Subscription Term (monthly or yearly) or unused user licences, regardless of the type of Subscription or any changes to it, except as required by applicable law or at our sole discretion. Cancellation takes effect at the end of the current billing period.

Subscription fees must be paid in advance in accordance with the selected Subscription Term. Failure to make timely payments may result in the suspension or termination of your Subscription and/or access to the TourOmni Platform and TourOmni Services. If a payment fails, we will notify you and allow a 7-day grace period to resolve the issue. If payment is not received within that period, your account may be suspended. Suspended accounts retain data for up to 60 days, after which the data may be permanently deleted. Payment is available online using TourOmni's third-party payment gateways, currently provided by Stripe, PayPal, and PayHere, or another payment processor that may be made available by TourOmni from time to time.

B. Plan changes

You may upgrade your Plan at any time; the change takes effect immediately and the price difference is prorated. Downgrades take effect at the next billing cycle. C. User licences

Subscription Plans are based on the Subscription Term as well as the number of user licences purchased by a Tenant for its Team Members. Each Team Member must have a purchased user licence and create his or her own TourOmni Account. Suppliers access the Platform via the dedicated supplier portal and do not require a user licence.

Tenant can re-assign its purchased user licences during a Subscription Term. For example, if a Team Member leaves the organisation during a Subscription Term, the Tenant can reassign that licence to another Team Member, provided that the new Team Member will need to create his or her own TourOmni Account. Unused or empty user licences are not eligible for a refund, extension, or credit.

D. AI-powered features

The Platform uses third-party AI services (including but not limited to OpenAI, Google Gemini, and Anthropic Claude) to power itinerary generation, rate sheet extraction, lead parsing, and other AI-assisted features. By using these features, you acknowledge and agree:

• Output accuracy: AI-generated content, including itineraries, extracted rates, and suggested text, is provided for assistance only. You are responsible for reviewing, editing, and approving all AI-generated content before sharing it with customers or suppliers.
• Data transmission: content you submit for AI processing (rate sheets, trip briefs, lead details) is transmitted to third-party AI providers. We apply PII masking where technically feasible. Please review our Privacy Policy for details of AI data sharing.
• No guarantee of results: TourOmni does not guarantee that AI outputs will be accurate, complete, or suitable for any particular purpose. AI features are provided "as is".
• IP in AI outputs: ownership of AI-generated content produced using your inputs belongs to you, subject to the terms of the underlying AI provider. TourOmni makes no claim over such outputs.

E. Payment processing

TourOmni uses third-party payment processors, including Stripe, PayPal, and PayHere, to process payments made via the TourOmni Platform and TourOmni Services (Subscription fees, customer invoices, and payment collection). You may be required to create an account with the applicable payment processor and agree to the terms, conditions, and restrictions provided by such processor for payment processing. TourOmni may from time to time and in its sole discretion change payment processors or make payment processing available by other third-party processors. TourOmni does not store full credit card numbers; all card data is handled directly by providers under PCI-DSS compliance.

Ownership and intellectual property rights

The TourOmni Platform and Services, including all content, code, software, graphics, images, marks, logos, other materials, as well as the design and "look and feel", all modifications and updates thereto and all intellectual property rights therein and thereto (excluding User Content) (collectively, "TourOmni IP"), are owned by or licensed to TourOmni by third-party licensors, and are proprietary to TourOmni and its licensors and protected by intellectual property and other proprietary rights, laws, and treaties. No ownership rights or interests in the TourOmni IP are transferred to you by these Terms or by your access to and use of the TourOmni IP, whether by estoppel, implication, or otherwise. You do not have any rights in or to the TourOmni IP except for the limited, express rights granted in these Terms.

You acknowledge that TourOmni has acquired, and is the owner of, common law or registered trademark rights in the name and word mark "TOUROMNI" and in the other marks, logos, trade dress, and design marks displayed on the TourOmni Platform and Services ("Marks"). You will not challenge the validity of, or TourOmni's ownership of, the Marks, and you waive any rights you may have to do so. You may not use our Marks in connection with any product or service without our prior, written consent, or in any manner that is likely to cause confusion. All use of the Marks by you will inure solely and exclusively to TourOmni's benefit.

Subject to these Terms, TourOmni grants you a personal, non-exclusive, non-transferable, revocable, and limited licence to access the TourOmni Platform and use the Services and TourOmni IP solely for the purposes specified in the Terms and on the TourOmni Platform. This licence shall automatically and immediately terminate upon any termination of these Terms and/or your TourOmni Account.

You retain full ownership of all data you upload or generate within your Tenant account ("Tenant Data"), including itinerary content, customer records, quotation templates, uploaded documents, and any branding, logos, or content you configure within the client portal and journey link features. TourOmni does not claim any ownership over Tenant Data.

If you give TourOmni feedback, comments, or suggestions concerning the TourOmni Platform or the Services (collectively, "Feedback"), you hereby assign to TourOmni all right, title, and interest in and to the Feedback, and TourOmni is free to use the Feedback without payment, attribution, or restriction.

Governing law

These Terms shall be construed in accordance with the laws of Sri Lanka, the jurisdiction in which TourOmni Pvt Ltd is registered, without regard to any conflict of law provisions.

Limitation of liability

TourOmni owns and operates the TourOmni Platform and TourOmni Services. Tenants, Team Members, and Suppliers provide travel services, bookings, and related activities, and TourOmni assumes no liability to any Traveller, TourOmni user, or other third party arising out of or relating to such offerings, bookings, and services and/or the acts and omissions of Tenants, Team Members, and Suppliers.

This limitation of liability reflects the allocation of risk between you and TourOmni Parties, and will survive and apply even if any limited remedy specified in these Terms is found to have failed its essential purpose. Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

Disclaimer of warranties

Indemnification

You (and also any entity for whom you operate an Account or activity on the Service) agree to defend (at TourOmni's request), indemnify and hold each of the TourOmni Parties harmless from and against any claims, liabilities, damages, losses, costs, and expenses, including without limitation, reasonable legal fees and costs, arising out of or in any way connected with any of the following (including as a result of your direct activities on the Service or those conducted on your behalf): (i) your User Content or your access to or use of the TourOmni Platform and/or Services; (ii) your breach or alleged breach of these Terms of Service; (iii) your violation of any third-party right, including without limitation, any intellectual property right, publicity, confidentiality, property or privacy right; (iv) your violation of any laws, rules, regulations, codes, statutes, ordinances, or orders of any governmental and quasi-governmental authorities, including, without limitation, all regulatory, administrative, and legislative authorities; (v) your processing of personal data without a lawful basis; or (vi) the actions of your Users or Suppliers within your Tenant account. You will cooperate as fully required by TourOmni in the defence of any claim. TourOmni reserves the right to assume the exclusive defence and control of any matter subject to indemnification by you, and you will not in any event settle any claim without the prior written consent of TourOmni. All rights and duties of indemnification set forth herein shall survive termination of these Terms of Service.

Termination

Termination by you

You may cancel your Subscription at any time via your TourOmni Account settings or by emailing [email protected]. Cancellation takes effect at the end of the current billing period. Your data remains accessible for 30 days after the period ends, after which it will be permanently deleted unless you request an extension before that date.

Termination by TourOmni

We may suspend or terminate your account immediately and without liability if:

• You materially breach these Terms and fail to remedy the breach within 14 days of written notice
• You use the Platform for any unlawful, fraudulent, or abusive purpose
• Continued operation of your account would expose TourOmni or its users to legal or reputational risk
• Payment obligations remain unmet beyond the grace period described in the Subscription section above

Data on termination

Upon termination, your access to the Platform ceases immediately. Tenant Data is retained for 30 days in a read-only state to allow data export. After 30 days, all Tenant Data will be permanently and irrecoverably deleted. We strongly recommend exporting your data before cancellation. TourOmni is not liable for any data loss following the expiry of the retention period.

Copyright infringement notices and takedown

TourOmni respects the intellectual property rights of others and is committed to complying with applicable copyright laws. If you believe that your work has been improperly copied and made available on the TourOmni Platform, please provide us with the following information:

• Your name, address, telephone number, email address, and an electronic or physical signature of the copyright owner or the person authorised to act on their behalf
• A description of the copyrighted work that you claim has been infringed
• A description of where on the TourOmni Platform the material that you claim is infringing is located
• A written statement that you have a good faith belief that the disputed use is not authorised by the copyright owner, its agent, or the law
• A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorised to act on the copyright owner's behalf

We will process notices of alleged infringement received and will take appropriate action as required by applicable law. Copyright infringement notices should be sent to [email protected].

General

These Terms of Service (as may be revised and amended from time to time according to their respective terms) constitute the entire agreement with respect to your access to the TourOmni Platform and your use of the Services. Except as expressly provided for herein, these Terms do not confer any rights, remedies, or benefits upon any person or entity other than you and TourOmni. TourOmni may assign its rights and duties under these Terms at any time to any third party without notice, including in connection with a merger, acquisition, or sale of assets. You may not assign these Terms or your TourOmni Account without the express prior written consent of TourOmni. These Terms shall be binding on and inure to the benefit of the parties hereto and their respective successors and assigns. To the extent any portion of these Terms shall be determined to be unenforceable by a court of competent jurisdiction, such portion will be modified by the court solely to the extent necessary to cause such portion to be enforceable, and these Terms as so modified will remain in full force and effect. Any waiver of any provisions contained in these Terms by TourOmni shall not be deemed to be a waiver of any other right, term, or provision of these Terms.
